Terms of Use.
Effective November 2, 2026
These Terms are an agreement between you and Auto Exit LLC ("Auto Exit", "we", "us"). They cover three things: using our website, asking for an offer and selling us your car, and the texts we send you.
Please read section 26. It says that disputes between us are decided by individual arbitration, not by a judge or jury and not in a class action, and it explains how to opt out within 30 days.
1. Who we are
Auto Exit LLC buys cars from people across the United States. We are based in Los Angeles, California. California DMV dealer license #82402.
You can reach us at admin@autoexit.us, through the call-back form at autoexit.us/contact, or through the question box on every page of our website.
2. How you agree to these Terms
You agree to these Terms when you use our website, or when you continue in our offer flow, where it says "By continuing you agree to our Terms and Privacy Policy." If you don't agree, please don't use our website or ask for an offer.
Our Privacy Policy explains how we handle your information. It is part of these Terms.
At pickup you sign the papers needed to sell the car, such as a bill of sale. If those papers say something different about your sale, they control for that sale. They can't take away the promises in sections 6, 7, 9, 13 and 14 of these Terms.
3. Who can sell to us
To ask for an offer or sell us a car, you must:
- be 18 or older;
- be in the United States; and
- own the car, or have the legal right to sell it (for example, as the executor of an estate, under a power of attorney, or for a business you are allowed to act for).
If more than one person owns the car, every owner must agree to the sale and sign at pickup. If you act for someone else, you confirm that you are allowed to.
4. How our offer works
- You tell us about the car and give us your contact details.
- We send the car's details to wholesale buyers in our network. They never get your name, phone number, email, plate number, address or payoff amount.
- The buyers answer with the price they would pay. Your offer is that price, less our margin and our costs, including transport.
- Your offer usually appears in about two minutes. Sometimes it takes longer.
We buy all kinds of cars in all kinds of situations, and we work to get you a strong price very quickly. Your offer reflects what buyers will pay for your car right now. We don't promise it is the highest price you could get anywhere.
If a better price comes in before your offer is locked, your offer may go up.
Asking for an offer is free and doesn't oblige you to sell.
5. We may decline a car
We may decline to make an offer, or decline to buy a car, at any time before the car leaves with us. For example, we may decline if:
- we can't confirm who owns the car or that you have the right to sell it;
- the title has a problem we can't clear, such as an unknown lien or a title brand you didn't tell us about;
- the car may be stolen, or its VIN or odometer looks altered;
- your leasing company won't let us buy the car (see section 12);
- we can't arrange the payoff, or the difference you owe, before pickup (see sections 10 and 11);
- the car can't be picked up safely where it is;
- no buyer in our network wants the car at a price that works; or
- buying the car would break the law or these Terms.
If we decline, we tell you. You never pay us anything when we decline.
6. How long your offer lasts
Your offer is good for 7 days from when we first show it to you.
Book your pickup for a date within those 7 days. If we can't give you a pickup date within the 7 days, your offer holds until the date we schedule. If the 7 days pass with no pickup booked, the offer ends. You can ask for a new one at any time, and the new offer may be different.
During those 7 days, your offer can change only as sections 7 and 9 explain.
7. Your photos lock your offer
After you get your offer, we ask for 8 guided photos of the car. AI checks each photo for blur, reads the odometer, and looks for warning lights and visible damage. A person on our team then reviews the photos and approves them.
If the photos show something different from what you told us, such as damage you didn't mention, a warning light or higher miles, we may change the offer before we approve the photos. We tell you what changed and why, and you can accept the new offer or walk away. Walking away costs you nothing.
Once we approve your photos, your offer is locked. After that, it can change only for something you didn't tell us and the approved photos didn't show, as section 9 explains.
8. What you promise about the car
You promise that:
- everything you tell us about the car is true and complete, including accidents, damage, warning lights, mechanical problems, flood or fire damage, airbag problems, missing keys, aftermarket changes, title brands (such as salvage, rebuilt or lemon buyback), odometer problems and liens;
- the photos are of this car, taken by you or for you, and show it as it is now;
- the miles you enter are the current reading;
- to your knowledge, the odometer shows the car's true miles;
- the car isn't stolen and hasn't been reported stolen; and
- you will keep the car in the same condition until pickup, and tell us right away if anything changes, such as new damage or a new warning light.
Normal driving before pickup is fine (see section 9).
9. What happens at pickup
The check. At pickup, the driver checks that the VIN matches, reads the odometer, starts the car if you told us it runs, looks for warning lights, counts the keys, looks for visible damage and checks the documents.
When the offer stays the same. If the car matches what you told us and what your approved photos show, you get your locked offer.
When the offer can change. We can change a locked offer only for something you didn't tell us and the approved photos didn't show. Something that happened after you sent your photos, such as new damage, counts. Anything you told us, and anything visible in your approved photos, can't be used to lower your offer.
Miles. Up to 500 miles more than the reading you gave us doesn't count. If the car has been driven more than that, the extra miles count as something you didn't tell us.
How a change works. If we change your offer at pickup:
- we list each item in writing, with the amount for each item and a photo of it;
- you choose: accept the new offer, or walk away; and
- walking away costs you nothing.
10. Title, liens and loans
Clear title. You sell us the car free of all liens, other than a loan or lease that we pay off from the price. If you can't find your title, tell us before pickup. You may need to get a duplicate from your state.
Your permission to deal with your lender. If there is a loan on the car, you authorize us to ask your lender for the payoff amount, to pay your lender directly, and to receive the title or lien release from your lender.
The payoff. We confirm the payoff with your lender before pickup. We pay your lender directly and pay you the rest.
Payoff amounts change. A payoff changes from day to day. We use the amount your lender gives for the day we pay. If your lender later says more is owed for the time before the sale, for example because a payment you made was reversed or a fee was added, you are responsible for that difference. If too much is paid, your lender refunds the extra to you.
Keep paying until it's done. Until your lender confirms the loan is paid off, keep making any payment that falls due. If you overpay, your lender refunds you. You can ask us about the payoff at any time.
11. If you owe more than our offer
If your payoff is more than our offer, the difference is called negative equity. Here is how it works:
- Before pickup, our team confirms the payoff with your lender.
- We tell you the exact difference.
- You pay that difference before or at pickup, by bank transfer or certified funds.
- Pickup goes ahead only once the difference is arranged.
We then pay your lender the full payoff. If you decide not to sell, you walk away and owe us nothing.
12. Leased cars
Some leasing companies, including several carmakers' own finance companies, don't let outside buyers buy their leased cars. Their rules change. We confirm the rule on your lease contract before pickup.
If your leasing company won't sell the car to us, we tell you before pickup. You may be able to buy the car from your leasing company yourself and then sell it to us. That purchase is between you and your leasing company, including any taxes and fees it involves.
Until your leasing company receives the payoff, you remain responsible under your lease.
13. Pickup
Where and when. We pick up anywhere in the US, at no charge to you. You choose the address, date and time window, and we send you a calendar file.
What we need at pickup:
- the car, parked where a transport truck can reach it safely;
- every owner named on the title, or their signatures as your state allows;
- all keys and fobs;
- the title, or your lender's details if your lender holds it; and
- the bank details for the account you want to be paid into.
Tell us before pickup if the car doesn't run.
Who picks it up. The driver may work for an independent transport company we hire.
If the time has to change. If we need to move your pickup, we tell you as soon as we know, and your offer holds for the new time. If you need to move it, tell us. If your new date falls after your offer's 7 days, we may need to confirm the offer again.
Who is responsible for the car. The car stays your responsibility, including insurance, until the driver takes it after your payment is sent. From then on, it is ours.
14. Payment
When. We pay you by bank transfer at pickup. The car doesn't leave until your transfer is sent, and you see the confirmation.
Where. We pay only into a bank account in your own name, or the name of another owner on the title. We don't pay anyone else, except your lender.
When the money arrives. Your bank controls when the money shows in your account.
No fees. We charge no fees: no pickup fee, no paperwork fee and no payment fee. Our costs are already included in your offer. If your own bank charges you to receive a transfer, that is between you and your bank.
If a transfer comes back. If a transfer is returned because the bank details were wrong, we send it again once you give us the right details.
Money you owe. Amounts you owe others that are tied to the car, such as a loan, a lease, or unpaid registration fees or penalties that block a title transfer, are not part of our price. We pay them only with your OK. What we pay comes out of the amount we send you, and we list each item.
15. Paperwork and who files what
What you sign at pickup. Depending on your car and your state:
- The title, signed by every owner. If your lender holds the title, on paper or electronically, your lender releases it to us after the payoff, and you sign what your state requires instead, such as a power of attorney.
- The odometer statement. Federal law requires one for cars from model year 2011 or newer until they are 20 years old. It is usually on the title.
- A bill of sale, which we prepare. It shows the price, the date, the VIN, and your name and ours.
- A payoff authorization, if you have a loan or lease.
- Any other form your state requires.
You agree to sign these papers and to make every statement in them truthfully.
What we file. We handle the title transfer from our side.
What you file. Most states ask the seller to tell the motor vehicle agency that the car is sold. This protects you from tickets, tolls and claims after the sale. Before pickup, we tell you what your state requires.
California:
- Notice of Transfer and Release of Liability. File it with the DMV within 5 calendar days of the sale. The fastest way is online at dmv.ca.gov. You need the plate number, the last 5 digits of the VIN, the odometer reading, the date of sale and the buyer's name and address (Auto Exit LLC). We give you these at pickup.
- License plates. Standard California plates stay with the car. Personalized and special interest plates belong to you. If you want to keep them, tell us before pickup.
- Smog check. You don't need to get a smog check before you sell to us. We take care of smog certification after we buy the car.
- Registration. You don't need to renew the registration to sell.
Other states:
- Texas: file a Vehicle Transfer Notification with the Texas DMV within 30 days of the sale. We tell you what to do with your plates when you book.
- Florida: remove your license plate before the car leaves, and file a Notice of Sale (form HSMV 82050) with your county tax collector.
- Everywhere else: rules on plates and seller notices differ. We tell you yours when you book.
16. Personal items and personal data
Before pickup, please:
- take out everything you want to keep, including toll tags (such as FasTrak or E-ZPass), garage door openers, parking passes, child seats, sunglasses and papers in the glove box;
- clear your personal data from the car: unpair your phones, delete saved addresses and contacts, and clear any garage door codes stored in the car; and
- remove the car from any carmaker app or connected-car account, so you no longer receive its location or can unlock it.
We aren't responsible for items or personal data left in the car. If you tell us within 7 days that you left something behind, we will look for it and, if we find it, send it back to you.
17. After the sale: tickets, tolls, registration and insurance
- Before the handover: parking tickets, tolls, camera tickets and fines for the time before the driver takes the car are yours.
- After the handover: those for the time after are ours. If you receive one, send it to admin@autoexit.us and we will pay it or have it transferred to us.
- Toll accounts: remove the car's plate from your toll account after the handover. In states where the plates stay with the car, such as California, tolls could otherwise keep charging your account.
- Insurance: keep your insurance until the car is picked up, then cancel or move it. We don't handle insurance refunds.
- Registration: registration fees for the time after the sale are not yours.
18. Cancelling
You can cancel at any time before the car leaves, for any reason. Email admin@autoexit.us, reply to one of our texts, or tell the driver. It costs you nothing.
We can cancel before the car leaves for the reasons in section 5, or if you decline a changed offer under section 7 or 9.
After the car leaves and your payment is sent, the sale is final. One exception: if we find out the car was stolen, the title wasn't yours to sell, or you hid a title brand, an odometer problem or a lien, we may undo the sale. You then repay what we paid you and your lender, and we return the car to you if we still have it.
19. Our question box and AI
The question box on our website uses AI to answer questions from our own policies and guides.
- Its answers are general information. They are not an offer and don't change these Terms.
- It never names a price and can't make, change or lock an offer.
- It can be wrong. If an answer matters to you, ask a person.
- You can ask for a person at any time, and the box hands you over.
Your offer screen, written messages from our team and these Terms decide what we have agreed. Please don't type bank details, Social Security numbers or passwords into the question box.
20. Texts, calls and email
The program. Auto Exit texts sellers about selling their car, only with their consent. The offer form has a tick box that says:
"Text me about my offer and sale. Auto Exit may text this number, including by automated means. Consent is not a condition of sale. Msg frequency varies. Msg & data rates may apply. Reply STOP to opt out, HELP for help."
The call-back form shows this line next to its button:
"By sending, you agree that Auto Exit may call or text you about selling your car, including by automated means. Consent is not a condition of sale. Msg frequency varies. Msg & data rates may apply. Reply STOP to opt out, HELP for help."
What we text about: your offer, photo requests and results, pickup scheduling and reminders, payoff and payment updates, and answers to your questions.
How often. Message frequency varies. You get more messages around pickup.
When. We send texts between 9 a.m. and 8 p.m. in your time zone.
Cost. Message and data rates may apply, according to your mobile plan.
To stop. Reply STOP to any text. QUIT, END, REVOKE, OPT OUT, CANCEL and UNSUBSCRIBE work too. We send one message confirming you are opted out, then no more texts. You can also tell us by email at admin@autoexit.us or in a call. We act on a text reply right away, and on other requests within 10 business days at most.
For help. Reply HELP, or email admin@autoexit.us.
Your number. Only give us a mobile number that is yours or that you are allowed to use. If you change or give up the number, tell us.
Carriers. Mobile carriers are not liable for delayed or undelivered messages.
Your privacy. We never share your mobile number or your consent to receive texts with anyone for their own marketing. Our Privacy Policy explains more.
Calls. We may call you about your offer and sale, by a person or by automated means, if you agreed. We don't record calls.
Email and electronic notices. You agree that we can send you notices and documents about your offer and sale electronically, by email or text.
21. Rules for using our website
When you use our website, you agree not to:
- give false information, or use someone else's name, number or email without their permission;
- ask for an offer on a car you don't own or have no right to sell;
- use bots, scrapers or other automated tools to use our website, our offer flow or our question box, or to collect prices or data from them;
- use our offers to price cars for a business that competes with us;
- try to get around our bot check, rate limits or security, or to get into parts of our systems you aren't meant to use;
- try to make the question box reveal its instructions or say harmful or unlawful things;
- harass our team, our drivers or anyone else involved in a sale; or
- break the law.
We may block anyone who breaks these rules.
22. Our content and yours
Ours. Our website, its text, design, logos and software belong to Auto Exit or the companies that license them to us. You may use our website for your own personal use, to sell your own car. Don't copy or reuse our content for anything else without our written permission.
Carmaker names. We name car makes and models only to identify cars. Carmaker names and logos belong to their owners. Using them doesn't mean any carmaker or finance company endorses us.
Your photos. Your photos remain yours. You give us permission to use them to check, price, buy, document and resell the car. We don't post them publicly or use them in our advertising.
Your ideas. If you send us suggestions, we may use them without owing you anything.
23. Disclaimers
Our website, guides and question box give general information. They are not legal, tax or financial advice. Rules differ by state and change over time, so check with your state agency, your lender or a professional before you act on them.
We are the buyer of your car, not your adviser.
To the extent the law allows, our website is provided "as is", without warranties of any kind, and we don't promise it will always be available or free of errors.
Our website links to other sites, such as motor vehicle agencies. We aren't responsible for them.
24. Limits on our liability
To the extent the law allows:
- We are not liable for indirect, special, incidental, consequential or punitive damages, or for lost profits, arising from these Terms, our website or a sale.
- For a claim about our website or question box when no sale took place, our total liability to you is $100.
- For a claim about a sale, our total liability to you is the amount we owe you under that sale, plus your direct out-of-pocket losses caused by our breach.
These limits don't apply to fraud, gross negligence, willful misconduct, personal injury we cause, or anything else the law doesn't let us limit. Some states don't allow some of these limits, so they may not apply to you.
25. If you give us false information
If you give us false information about the car, its title, its liens or your right to sell it, or you break the law in using our service, you agree to cover our reasonable losses and costs that result, including reasonable lawyers' fees, to the extent the law allows. This doesn't apply to losses we caused.
26. Disputes: talk first, then individual arbitration
Please read this section carefully. It affects your legal rights.
26.1 What this covers. This section covers any dispute or claim between you and Auto Exit about our website, the question box, an offer, a sale, our texts, calls or emails, your personal information, or these Terms. It covers claims based on any law, including contract, consumer protection, privacy and telephone laws. It also covers disputes about whether this section applies, except as section 26.7 says.
26.2 Talk to us first. Before you or we start an arbitration, the side with the claim sends a written notice. Yours goes to admin@autoexit.us. Ours goes to your email or mobile number on file. The notice must include your name and contact details, the VIN, plate or offer you are writing about, what happened and what you want. We then have 30 days to try to resolve it together. Deadlines for bringing the claim pause during those 30 days.
26.3 Arbitration instead of court. If we can't resolve the dispute within 30 days, either side may start a binding arbitration. An arbitrator decides the dispute instead of a judge or jury. The arbitrator can give you the same individual relief a court could.
- Who runs it. The American Arbitration Association (AAA), under its Consumer Arbitration Rules in force when the arbitration is filed, as changed by this section. The rules are at adr.org. If the AAA can't or won't handle the case, we will agree with you on another neutral organization, or a court will appoint one.
- Fees. You pay no more than the consumer filing fee set by the AAA's rules. We pay all other AAA fees and the arbitrator's fees, and we pay them on time, as California law requires. If you win, we also pay back your filing fee. Each side pays its own lawyers' fees, unless the law or the arbitrator says otherwise.
- Where. By video or phone, or in the county where you live, whichever you prefer. For claims of $25,000 or less, you may choose a decision based on written documents only.
- Law that applies. The Federal Arbitration Act governs this section.
26.4 Small claims court. Instead of arbitration, either side may bring an individual claim in small claims court, as long as it stays there.
26.5 Individual claims only. You and we may bring claims only for ourselves, not as a plaintiff or class member in a class, collective or representative action. The arbitrator may not combine more than one person's claims, except as section 26.6 allows, and may award relief only for the person bringing the claim.
If the law gives you a right to ask for a public injunction (an order protecting the public in general) that can't be waived, you may ask a court for it, but only after the arbitration of your individual claims is finished. The court case waits until then.
If a court decides that this section 26.5 can't be enforced for a particular claim, that claim goes to court, not to arbitration, and is never arbitrated as a class. The rest of this section still applies to other claims.
26.6 Many similar claims at once. If 25 or more similar arbitration demands are filed against us, or by us, with the same or coordinated lawyers, the AAA's Mass Arbitration Supplementary Rules apply. In addition:
- the AAA groups the cases into batches of up to 50 cases each, with one arbitrator for each batch;
- all batches go forward at the same time, not one after another;
- fees are charged per batch, under the AAA's fee schedules for mass arbitration; and
- deadlines for bringing every claim pause from the date the first demand is filed until its batch is decided.
26.7 Who decides what. The arbitrator decides disputes about whether a claim must be arbitrated. A court decides whether section 26.5 can be enforced and whether section 26.6 applies.
26.8 No jury. If a claim goes to court for any reason, you and we give up the right to a jury trial, to the extent the law allows.
26.9 Urgent relief. Either side may ask a court for an urgent, temporary order to prevent serious harm while an arbitration is pending, such as to stop misuse of our website.
26.10 Your right to opt out. You can opt out of arbitration in this section within 30 days of the day you first agree to these Terms. Email admin@autoexit.us with "Arbitration opt-out" in the subject line, and include your name, the email or mobile number you use with us and a clear statement that you opt out of arbitration. Opting out doesn't change anything else in these Terms or your offer. If you opt out, disputes go to court as section 27 says.
26.11 Changes to this section. If we change this section, the change doesn't apply to a dispute you or we have already sent notice about. If we make a material change, you can reject it by emailing admin@autoexit.us within 30 days of the change, and the earlier version keeps applying to you.
26.12 If part fails. If part of this section can't be enforced, the rest still applies, except as section 26.5 says. This section stays in force after you stop using our website or after a sale.
27. Governing law and courts
California law governs these Terms, without regard to conflict-of-law rules, except that the Federal Arbitration Act governs section 26. The consumer protection laws of the state where you live still protect you where they can't be waived.
If a dispute goes to court and not to arbitration, it is heard in the state or federal courts for Los Angeles County, California, or the county where you live.
28. California consumers
Under California Civil Code section 1789.3, California users are entitled to this notice: the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs can be reached in writing at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by phone at (800) 952-5210.
29. Changes to these Terms
We may change these Terms. When we do, we post the new version here with a new effective date. Changes apply from that date. They don't change an offer we have already shown you or a sale already done. Section 26.11 explains how changes to the arbitration section work.
30. Other legal terms
- Whole agreement. These Terms, our Privacy Policy and the papers you sign at pickup are the whole agreement between us about our website and your sale.
- Transfers. We may transfer these Terms to a company that takes over our business. You may not transfer them without our written OK.
- If a part fails. If a court finds part of these Terms unenforceable, the rest still applies.
- No waiver. If we don't enforce a part of these Terms right away, we can still enforce it later.
- Delays we can't control. We aren't responsible for delays caused by things outside our reasonable control, such as severe weather, road closures or outages. If a delay affects your pickup, section 13 applies.
- What continues after a sale. Sections 10, 11, 15 to 18 and 22 to 30 continue after a sale or after you stop using our website.
